<h3>Terms and Conditions – Innovate&nbsp;</h3>
&nbsp;
<h4>Initiator Clause:</h4>
I hereby:
(i) confirm that the Proposal enclosed herein does not constitute or form part of any of my KPI requirements , and that it does not conflict with or contradict the ENOC’s Innovation Rewarding Policy;
(ii) understand that the Proposal herein will be excluded by the “Innovate Team” and that I will not be eligible to participate in the Scheme if it or any part thereof forms any part of my KPI;
(iii) understand and agree that I will not be entitled to any reward for the Proposal if I cease to be an employee in the Company; and
(iv) agree that the ownership of any intellectual property rights (including, without limitation, patents, trademarks, designs, copyrights) relating to and/or borne out of any proposal presented by me to the “Innovate Team” shall be deemed to have been irrevocably transferred to the Company. I further agree to execute and procure the execution of any and all documents, as well as perform and procure the performance of all such acts as the Company may deem necessary or desirable for the protection of its rights.

“The Company” means the Emirates National Oil Company (ENOC) LLC and its subsidiaries.
“Enabler” means an employee of the Company designated by the Innovation Board to assign the Proposal to the respective SME and to oversee the evaluation process such that Proposals are reviewed and assessed fairly and impartially.
“Initiator / Ideator” A Company's employee that submits a Proposal.
“Innovate Team” means the team composed of member from the Company's business transformation department which is authorized to screen and manage the overall evaluation process of the Proposals for and on behalf of the Company.
“KPI” means key performance indicator listed in an employee's performance agreement with the Company. “Proposal(s)” means a written suggestion submitted by the Initiator to the “Innovate Team” through the Scheme. “Scheme” means the “Innovate” “the Company's Employee”. suggestion scheme. “SME” means an employee of “the Company” nominated by the respective Enabler with the mandate to evaluate the Proposals based on his/her technical knowledge using the Company's evaluation sheet
<h4> Subject Matter Expert (SME):</h4>
(i) to keep all data and information relating to the idea strictly confidential and that you will not disclose any part of the Proposal to any third party without obtaining the prior written consent of the &quot;Innovate Team&quot;; and
(ii) not to use directly or indirectly any of the Proposal for any purpose other than the purpose of reviewing and evaluating the Proposal as instructed by the &quot;Innovate Team&quot;.
Definitions:
&quot;The Company&quot; means the Emirates National Oil Company (ENOC) LLC and its subsidiaries.
&quot;Enabler&quot; means an employee of the Company designated by the Innovation Board to assign the Proposal to the respective SME and to oversee the evaluation process such that Proposals are reviewed and assessed fairly and impartially.

 (ii) not to use directly or indirectly any of the Proposal for any purpose other than the purpose of reviewing and evaluating the Proposal as instructed by the &quot;Innovate Team&quot;; and
 (iii) to approve the payment required for implementing and rewarding ideas within your department/area out of your current budget, if available, or will assign it to your budget in the following year and to communicate the same to the &quot; Innovate Team&quot; in either case.

&quot;Enabler&quot; means an employee of the Company designated by the Innovation Board to assign the Proposal to the respective SME and to oversee the evaluation process such that Proposals are reviewed and assessed fairly and impartially.

(ii) not to use directly or indirectly any of the Proposal for any purpose other than the purpose of reviewing and evaluating the Proposal as instructed by the &quot;Innovate Team&quot;.
(iii) to confirm that all financial figures provided are complete, accurate, and truthful, and that no personal or unauthorized gain will result from the submission.

Definitions: &quot;The Company&quot; means the Emirates National Oil Company (ENOC) LLC, its subsidiaries, joint ventures and affiliates. &quot;Enabler&quot; means an employee of the Company designated by the department and agreed with the innovation function to assign the Proposal to the respective SME and to oversee the evaluation process such that Proposals are reviewed and assessed fairly and impartially. &quot;Initiator&quot; means a Company's employee that submits a Proposal. &quot;Innovate Team&quot; means the team composed of member from the Company's Group Quality &amp; Business Excellence &nbsp;which is authorized to screen and manage the overall evaluation process of the Proposals for and on behalf of the Company. &quot;KPI&quot; means key performance indicator listed in an employee's performance agreement with the Company. &quot;Proposal(s)&quot; means a written suggestion submitted by the Initiator to the &quot;Innovate Team&quot; through the Scheme. &quot;Scheme&quot; means the &quot;Innovate&quot; &quot;the Company's Employee&quot;. suggestion scheme. &quot;SME&quot; means an employee of &quot;the Company&quot;&nbsp;nominated by the respective Enabler&nbsp;with the mandate to evaluate the Proposals based on his/her technical knowledge using the Company's evaluation sheet.
